Terms of Use

1. Acceptance of Terms

By accessing or using VacStak — including any VS-series calculator, chat assistant, or trust document — you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree to these terms, do not use the platform.

These Terms of Use constitute a binding legal agreement between you and NumeriXGPT LLC ("we," "us," "our"), a Georgia limited liability company.

2. Platform Description

VacStak is an AI-powered veterinary vaccine economics platform that translates USDA-APHIS and NAHMS research into decision-support calculators for livestock producers, aquaculture operators, veterinarians, and agricultural professionals. The platform includes:

• 16 VS-series vaccine economics calculators (VS0–VS12) covering livestock, poultry, aquaculture, honeybee, epidemiology, and biosecurity
• AI-powered chat assistance (ACW) on each calculator page
• Detailed Report generation for each VS calculator
• Trust and governance documentation
• Institutional partnership and data sharing infrastructure

3. Eligibility

VacStak is intended for use by agricultural professionals, livestock producers, aquaculture operators, veterinarians, researchers, and students who are 18 years of age or older. By using VacStak you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

Use of VacStak for commercial purposes on behalf of an institution or organization requires that you have authority to bind that organization to these terms.

4. Accounts & Access

Free Access

VS0 (General Vaccine Economics) is available without registration. Access is provided as-is with no guarantee of uptime or continued availability.

Registered Access

Some VS-series calculators and features require a registered account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at legal@agrstak.com

Enterprise & Institutional Access

Enterprise and institutional access is governed by a separate agreement and, where applicable, a Data Sharing Agreement (DSA). In the event of conflict between these Terms and an executed DSA, the DSA controls.

5. Permitted Use

Subject to these Terms, NumeriXGPT LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use VacStak for the following purposes:

• Running vaccine ROI calculations for your own livestock, poultry, or aquaculture operation
• Academic or extension research and education
• Veterinary professional decision support
• Institutional research under the terms of an executed DSA
• Personal professional development and training

6. Prohibited Use

You may not use VacStak to:

• Reverse engineer any VS calculator model, algorithm, or coefficient
• Scrape or harvest data from VacStak by automated means without written permission
• Reproduce or redistribute calculator outputs commercially without attribution and written consent from NumeriXGPT LLC
• Misrepresent VacStak outputs as licensed veterinary advice or a regulated herd health plan
• Attempt to circumvent authentication, access controls, or subscription paywalls
• Transmit harmful content including malware, spam, or content that violates applicable law
• Use outputs to train competing AI models without explicit written consent from NumeriXGPT LLC
• Infringe on the patent-pending methodology of NumeriXGPT LLC (US App 63/970,943)

7. Intellectual Property

VacStak IP

VacStak, the VS-series model architecture, all calculator interfaces, Detailed Report templates, and the methodology for translating USDA-APHIS research into AI-powered economic calculators are the intellectual property of NumeriXGPT LLC and are protected by US patent application 63/970,943 and applicable copyright law. All rights reserved.

USDA Research

The underlying scientific research powering VacStak's VS models is sourced from USDA-APHIS and NAHMS publications, which are works of the United States Government and are in the public domain. VacStak's translation, parameterization, and calculator implementation of that research is proprietary.

Your Content

Calculator inputs you enter remain yours. Because inputs are never stored on VacStak servers, no license over your inputs is created. Any feedback or suggestions you submit to VacStak may be used by NumeriXGPT LLC to improve the platform without compensation.

8. Disclaimer of Warranties

VacStak is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

NumeriXGPT LLC does not warrant that:

• VacStak will be uninterrupted, error-free, or free of viruses or other harmful components
• VS calculator outputs will be accurate, complete, or suitable for any specific agricultural decision
• AI-generated chat responses will be free from errors or hallucinations
• USDA-APHIS source data reflected in VS models is current at any given time

9. Limitation of Liability

To the maximum extent permitted by applicable law, NumeriXGPT LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of VacStak, including but not limited to:

• Animal health outcomes resulting from decisions informed by VS calculator outputs
• Financial losses from vaccination or biosecurity decisions based on VacStak models
• Loss of data, profits, or business opportunities
• Service interruptions or platform downtime

In no event shall NumeriXGPT LLC's total liability to you exceed the amount you paid for VacStak services in the twelve months preceding the claim, or $100 USD if no payment was made.

10. Indemnification

You agree to indemnify, defend, and hold harmless NumeriXGPT LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of VacStak in violation of these Terms
• Your misrepresentation of VacStak outputs as licensed veterinary advice
• Your violation of any applicable law or third-party right
• Any content you submit through the platform

11. Termination

NumeriXGPT LLC reserves the right to suspend or terminate your access to VacStak at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your license to use VacStak immediately ceases.

Sections 7 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Gwinnett County, Georgia.

You waive any objection to venue or jurisdiction in Gwinnett County, Georgia for disputes arising under these Terms.

13. Changes to These Terms

NumeriXGPT LLC reserves the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, for registered users, send an email notification. Your continued use of VacStak after changes become effective constitutes acceptance of the updated Terms.
